This Referral Agreement reflects our mutual commitment to building successful partnerships. From the moment you refer a qualifying client to Smartmates, you’re protected by clear terms that ensure fair compensation for quality referrals that result in successful client relationships.

Referral Agreement

1. Purpose

This Agreement sets out the terms under which the Referrer will introduce potential clients to Smartmates in exchange for a referral commission.

2. Term

This Agreement will commence on the date of signing and continue for twelve (12) months, after which it will be reviewed and may be renewed by mutual agreement.

3. Commission Rate, Cap & Duration

Smartmates will pay the Referrer a commission of ten percent (10%) of the billable service fees (exclusive of GST) actually received from qualifying referred clients, for a period of 18 months from the date of the Qualifying Client’s first paid invoice to Smartmates.

The maximum commission payable for each Qualifying Client is AUD $3,000 (ex GST), representing 10% of $30,000 in billables.

No further commission will be payable after the earlier of: (a) reaching this cap, or (b) expiry of the 18-month period, even if the client continues to engage Smartmates.

4. Current Service Rates

At the date of this Agreement:

HubSpot services: AUD $149 + GST per hour
Zoho services: AUD $149 + GST per hour

Smartmates may change its rates at any time without notice to the Referrer. Commission is always calculated as 10% of the actual rates charged and paid, up to the cap.

5. Definition of a Valid Referral

A “Valid Referral” means a lead that:

  1. Is introduced directly by the Referrer to Smartmates via email or written introduction;
  2. Has not previously contacted Smartmates directly;
  3. Has not been referred to Smartmates by any other person or entity;
  4. Is not an existing or past Smartmates client;
  5. Is not a lead that Smartmates is already actively engaged with or has worked with in any capacity

6. Client Quality & Minimum Requirements

A referred client will only be considered a Qualifying Client if:

  1. Commission is payable only on amounts actually received by Smartmates from the Qualifying Client;
  2. They do not demand or receive significant refunds, credits, or write-offs exceeding 10% of their total billed fees;
  3. They conduct themselves in a professional manner aligned with Smartmates’ Commitment to Ethical Principles and Professional Conduct and do not become a “problematic client” as reasonably determined by Smartmates;
  4. They do not breach Smartmates’ terms of service; and
  5. They enter into Smartmates’ current Service Agreement & NDA and remain in full compliance with that agreement.

If a referred client refuses to sign the Service Agreement, breaches it, or terminates early due to their own actions, no further commission will be payable.

Smartmates reserves the right to disqualify a referral from commission eligibility if the client fails to meet the above conditions.

7. Engagement & Scoping Policy for Referred Clients

  1. No Fixed-Fee Projects – Smartmates does not provide fixed-fee pricing for delivery work.
  2. Complimentary Scoping Allowance – Smartmates will invest up to 3–4 hours at its own cost for initial sales scoping.
  3. Paid Scoping for Detailed Work – For complex SOWs, the client must purchase a minimum of 10 consulting hours.
  4. Tenders and Formal SOW Submissions – Smartmates does not engage in tenders or competitive bid documentation unless our time is paid in advance.
  5. Alignment with Delivery Model – All referred projects must align with Smartmates’ time-based billing model.

8. Tracking and Reporting

Smartmates will provide the Referrer with a quarterly report detailing:

The Qualifying Clients’ names;
Billable fees received during the period;
The commission amount payable (subject to the $3,000 cap).

9. Payment of Commissions

  1. Commissions will be calculated quarterly in arrears and paid within 14 days after the end of each calendar quarter.
  2. Commission is payable only on amounts actually received by Smartmates from the Qualifying Client, after any applicable cooling-off or refund periods.
  3. Payments will be made via EFT to the Referrer’s nominated bank account.
  4. If Smartmates issues a refund, credit, or write-off, the Referrer’s commission will be adjusted proportionally.

10. No Obligation

This Agreement does not oblige the Referrer to provide a minimum number of referrals, nor does it oblige Smartmates to accept any referred lead.

11. Confidentiality

The Referrer must not disclose any confidential information about Smartmates, its clients, pricing, or operations without prior written consent.

12. Termination

Either party may terminate this Agreement with 30 days’ written notice. Termination will not affect the Referrer’s entitlement to commission on fees received from Qualifying Clients referred prior to the termination date, subject always to the $3,000 cap.

13. Governing Law

This Agreement is governed by the laws of Victoria, Australia.
